NOTICE OF PROPOSED BYLAWS CHANGES

The Board of Trustees of Queen City Yacht Club has approved amendments to the bylaws for a vote by the general membership. Commodore Bob Stettner has called for this vote at the first meeting of the month on May 8, 2013. Per Article VI of the Queen City Yacht Club Bylaws, this vote requires two-thirds majority for passage. These amendments need to be approved individually.
PROPOSAL 1
Proposition: Update Article IV, Section 10 (S) and remove Article IV, Section 10 (S)(1). Restructure and renumber the subsections. Clarify language of new subsections (1) and (2).
Purpose: Update the bylaw to eliminate reference to a completed project and to clarify language to make the language parallel what the committee is currently doing.
Current Language:
S. Architectural Advisory Committee: The AAC shall be an advisory committee to the Board of Trustees and the Bridge. The committee shall be charged with managing a policy to assure architectural changes, additions and permanent décor are consistent with our architectural design and club traditions as follows:
1. Develop plans, recommendations, and priorities for clubhouse and property improvements, modifications and items necessary to complete the 1998-1999 renovation program.
2. Develop plans, recommendations, and priorities and approve clubhouse furnishings and permanent décor.
3. Recommend implementation management plans for all major changes and projects which are recommended to the Board of Trustees and/or the Bridge.
The Board of Trustees shall appoint a committee Chair and the Chair shall select members deemed appropriate. The committee is to include participation and/or input from professionals as deemed appropriate. The Vice-Commodore shall be a member of this committee. The committee shall work in close coordination with other affected committees.
PROPOSED LANGUAGE:

The committee shall be charged with managing a policy to assure architectural changes, additions and permanent décor are consistent with club architectural designs and club traditions. The committee shall review, develop or assist in the development of plans, recommendations and priorities, all major interior and exterior changes that are recommended to the Board of Trustees or the Bridge, including grounds, docks and outstations, and shall approve all furnishings and permanent décor.

appropriate. The Vice-Commodore shall be a member of this committee, and the committee shall work in close coordination with other affected committees.
PROPOSAL 2
Proposition: Two-part amendment. Update Article II, to remove reference to the Tarettes in this section and offer similar language in a separate section titled Article IV, Section 15.
Purpose: Clarification amendment. Reference to Tarettes in Article II is improper since it does not help define the Object of the Club. A reference to the Tarettes should be properly placed in a separate section, more appropriately in Article IV, which identifies government and committees, etc.

seamanship and navigation, and to provide and maintain a suitable clubhouse, moorage, and
other facilities for the use and recreation of its members. Members of the Tarettes are entitled
to use Club facilities, except moorage.
Proposed Language:
Article II: Object
The object of Queen City Yacht Club shall be to encourage yachting, to promote the science of
seamanship and navigation, and to provide and maintain a suitable clubhouse, moorage, and
other facilities for the use and recreation of its members.
Article IV
Section 15: Tarettes. Members of the Tarettes are entitled to use Club facilities, except moorage.
